ARTICLE 3 — SUBJECT MATTER AND DOCUMENTS
3.1. The subject matter of this Agreement comprises:
(a) Installation and Brand Adaptation of the Software,
(b) granting the Buyer the non-exclusive license to use defined in Article 5,
(c) delivery of the Source Code,

The annexes to this Agreement are: Annex-1 Scope and Technical Specifications, Annex-2 Hosting Service Terms, Annex-3 Data Processing Protocol, Annex-4 Transfer Acceptance Declaration (template). The Annexes form an integral part of the Agreement. In the event of conflict, the order of precedence is: (1) a special quotation or order form signed by the Parties, solely as regards commercial terms, (2) this Agreement, (3) the Annexes.
3.3. Hosting Service, domain registration and business email are separate products. Each is subject to its own order and terms. Termination of the Hosting Service does not affect this Agreement's licensing provisions.

4.1. Included items (in consideration of the one-time installation/license fee):
(a) Installing the Software on TeknoWeb's hosting infrastructure and launching it on the Licensed Domain Name,

(d) Creation and delivery of one (1) administrator account,
(e) Training under Article 9.4,
(f) A perpetual license to use under Article 5,
(g) Source Code Delivery under Article 9.5,
(h) Error correction for ninety (90) days from Acceptance under Article 12.2.
4.2. Excluded items (charged separately or the Buyer's own responsibility):

(g) Design work outside Article 9.3: new themes, page layout changes, custom illustration and copywriting,
(h) Preparation of the Buyer's legal texts (KVKK privacy notice, explicit consent text, terms of use, distance sales agreement, cookie policy, etc.). TeknoWeb only places texts supplied by the Buyer in the relevant Software fields,
(i) Migrating or installing the Software in an environment outside TeknoWeb's infrastructure,
(j) Reviewing, merging, deploying or resolving problems arising from changes made by the Buyer to the Source Code,
(k) Training and consultancy beyond the training listed in 4.1.
4.3. Work under 4.2 is performed at the prevailing out-of-scope work rate, provided that the Parties agree in writing (including email). As at the date of this Agreement, the rate is 2.000 TL + VAT per hour. TeknoWeb notifies the estimated time in writing before starting work. No out-of-scope work is performed or charged without the Buyer's written approval. Billing is for a minimum of one (1) hour and thereafter in thirty (30) minute increments.
ARTICLE 5 — LICENSE
5.1. Nature of the license. Subject to full payment of the fee under Article 10, TeknoWeb grants the Buyer a license to use the Software (a license within the meaning of FSEK Art.48) with the following characteristics:
- non-exclusive (simple license),
- perpetual (unless terminated under Article 16),
- limited to a single Licensed Domain Name,
- solely for the Buyer's own business,
- non-sublicensable,
- transferable only in its entirety and under the procedure in Article 7.
5.2. Rights granted (specified separately pursuant to FSEK Art.52). Only the following rights are granted to the Buyer. All unlisted rights remain with TeknoWeb.
(a) Right of reproduction (FSEK Art.22): Reproducing the Software and Source Code solely for:
- a single live production installation on the Licensed Domain Name,
- a reasonable number of backup copies of that installation,
- non-public environments used solely for development, testing or staging.
Access to these environments must be protected by password or network restrictions. They must not serve End Users or be accessible to search engines.
(b) Right of adaptation (FSEK Art.21): Modifying, adapting and developing the Source Code solely for the Buyer's own use. All resulting modifications and derivatives ("Buyer Modifications") are subject to all restrictions in this Agreement, particularly the single Licensed Domain Name restriction.
(c) Right of communication to the public (FSEK Art.25): Making the Software accessible to End Users solely through the Licensed Domain Name and under the Buyer's own brand. Offering the Software as a service to End Users and charging for that service is permitted.
(d) Right of distribution (FSEK Art.23): Not granted. The sole exception is a transfer under Article 7.
(e) Duration and territory: The license is perpetual. As it is limited to the Licensed Domain Name, there is no country restriction.
5.3. Changing the Licensed Domain Name. The Buyer may replace the Licensed Domain Name with another domain by written notice. Following the change, the installation on the former domain must be taken offline within thirty (30) days at the latest. The former domain may only be used for a permanent redirect (301) to the new Licensed Domain Name. Simultaneous operation on more than one domain is prohibited. Technical work required for the domain change is charged at the rate in Article 4.3.
5.4. The Buyer's assistants. The Buyer may grant its employees, independent developers and service providers access to the Source Code solely for the Buyer's own use, subject to the following conditions:
- the person receiving access must have undertaken written confidentiality and use restrictions at least as protective as those in this Agreement,
- access must be limited to what is necessary for the work.
The Buyer is responsible for those persons' acts as for its own acts (TBK Art.116).
5.5. Open-source and third-party components. The Software contains open-source libraries and third-party components subject to their own licenses. Their list and licenses are specified in Annex-1 or in the license files within the Source Code.
- Rights in these components are determined by their own licenses. The restrictions in this Agreement must not be interpreted as narrowing the rights those licenses grant the Buyer.
- The restrictions apply in full to the code, designs, themes, illustrations and other elements developed by TeknoWeb and to their selection, arrangement and integrated structure.
- Third-party content whose license prohibits redistribution is excluded from Source Code Delivery. It is identified in Annex-1, and the Buyer must obtain its own license if necessary.
5.6. Uses that cannot legally be prohibited. Uses for backup copying, Error correction and interoperability that cannot be contractually prohibited under FSEK Art.38 remain reserved.
ARTICLE 6 — PROHIBITED ACTS, AUDIT AND CONTRACTUAL PENALTY
6.1. Prohibited acts. Except for a transfer under Article 7, the Buyer may not do, arrange or facilitate any of the following without TeknoWeb's prior written permission:
(a) Selling, renting, lending, pledging or sublicensing the Software, Source Code, Object Code or Buyer Modifications, or allowing a third party to use them by any other legal means.
(b) Making the Software available to End Users on a domain other than the Licensed Domain Name, an IP address or a mobile/desktop application. Operating it on a second domain, under a second brand or through a second production installation.
(c) Installing the Software for Third-Party Businesses or offering it to them with a separate brand, domain or administration panel. Enabling other businesses to operate the Software as their own platform through white-label, dealership, franchise or multi-tenant arrangements.
(d) Publishing or sharing the Source Code or parts of it in a public repository (e.g. a public GitHub/GitLab repository), marketplace, forum or other medium.
(e) Selling, licensing or distributing to third parties software, themes or products derived from the Source Code or from TeknoWeb's designs, themes and illustrations.
(f) Removing, modifying or disabling copyright, license and ownership notices or license identifiers in the Source Code (TeknoWeb may add to the Software a license identifier and domain verification that do not process personal data).
(g) Using the "e-davetiyem" brand, TeknoWeb's trademarks and logos or confusingly similar signs. The Buyer operates under its own brand.
(h) Using the Software for unlawful purposes, to send unsolicited bulk communications (spam) or in a way that manifestly violates Third-Party Services' terms of use.
6.2. Right of audit.
(a) To verify compliance with license restrictions, TeknoWeb may request from the Buyer, no more than once (1) a year and upon ten (10) Business Days' prior written notice, a written declaration identifying the domains and environments on which the Software is installed.
(b) Where there is a concrete suspicion of infringement, TeknoWeb may request a remote or on-site technical inspection upon reasonable advance notice and without unnecessarily disrupting the Buyer's operations.
(c) The Buyer's trade secrets and personal data are kept confidential during an audit. The audit is conducted without requiring access to personal data.
(d) TeknoWeb bears the audit costs. If an infringement is found, the Buyer bears reasonable audit costs.
(e) TeknoWeb may independently examine public sources (such as domains, DNS and web scans) at any time.
6.3. Contractual penalty.
(a) If the Buyer breaches any of 6.1 (a), (b), (c), (d) or (e), for each infringement the Buyer must pay TeknoWeb a contractual penalty of three (3) times the installation/license fee (150.000 TL as at the date of this Agreement). Each additional domain, installation, sale, rental or Third-Party Business constitutes a separate infringement.
(b) The contractual penalty is in addition to performance (TBK Art.179/2). Payment does not remove the Buyer's obligation to comply with the Agreement, the requirement to end the infringement or the termination rights in Article 16.
(c) TeknoWeb reserves the right separately to claim losses exceeding the contractual penalty (TBK Art.180/2) and to pursue claims and proceedings under FSEK Art.68 and Art.66.
(d) The contractual penalty must be paid within ten (10) Business Days of notice to the account specified in the written notice issued after discovery of the infringement.
6.4. Revocation of the license and destruction. A breach of 6.1 constitutes grounds for termination for cause under Article 16.2. If the license ends for any reason, the Buyer must:
(a) immediately take all installations of the Software and Buyer Modifications offline,
(b) irreversibly destroy, within ten (10) Business Days, all copies of the Source Code, Object Code and Buyer Modifications held by the Buyer, its assistants and in environments under its control (including backups and repositories),
(c) notify TeknoWeb of destruction by a written declaration of destruction signed by an authorized representative.
Export and return of End Users' personal data are separate from this provision (Article 16.5).
ARTICLE 7 — TRANSFER OF THE LICENSE
7.1. Advance consent to transfer. The Buyer may transfer the license with all rights and obligations, undivided and together with the single-domain restriction to a single third party ("Transferee"). TeknoWeb acknowledges that it grants advance written consent to the transfer within the meaning of FSEK Art.49 when the following conditions are met.
7.2. Conditions of transfer.
(a) Notice: The Buyer must notify TeknoWeb in writing at least fifteen (15) days before transfer. The notice must include the Transferee's business name/name, identity and tax details, contact addresses and the Licensed Domain Name to be used.
(b) Transferee's acceptance: The Transferee accepts all provisions of this Agreement by signing the Transfer Acceptance Declaration in Annex-4. The declaration must be signed in writing or with a secure electronic signature.
(c) No outstanding debt: On the transfer date, the Buyer must have no due and payable debt to TeknoWeb arising from this Agreement.
(d) No infringement: There must be no continuing and unremedied license infringement at the time of transfer.
(e) Delivery or destruction of copies: Within ten (10) Business Days of the transfer date, the Buyer must deliver all copies of the Source Code and Buyer Modifications to the Transferee or destroy them and declare this in writing as in Article 6.4 (c).
(f) Fee: TeknoWeb charges no separate transfer fee; technical work requested during transfer is charged at the rate in Article 4.3.
7.3. Effects of transfer. Transfer takes effect once all conditions in 7.2 are met and TeknoWeb confirms this in writing. The transfer automatically and fully ends the Buyer's right of use. The Buyer remains liable for infringements before transfer. The Transferee may transfer the license again under the same procedure.
7.4. Prohibition of partial transfer. The license is indivisible. Partial transfer, transfer to multiple persons or "shared use" in which the Buyer continues using it do not constitute a transfer. These acts breach Article 6.1 (a).
7.5. Transfer of the hosting agreement. Hosting Service is a separate agreement. Its transfer requires TeknoWeb's consent (TBK Art.205). TeknoWeb will not withhold consent without good reason where the Transferee accepts the hosting terms and no due debt exists.
7.6. Corporate transactions. If the Buyer merges, demerges or changes its legal form, the license passes to the company acquiring the business or adopting the new legal form. This is subject to the notice in 7.2 (a); the license scope does not expand.
ARTICLE 8 — INTELLECTUAL PROPERTY
8.1. All Intellectual Property Rights in the Software belong to and remain with TeknoWeb. They include the Source Code, designs, themes, illustrations, Documentation and code written during Installation and Brand Adaptation. Neither this Agreement nor Source Code Delivery transfers any economic right to the Buyer. Only the license under Article 5 is granted to the Buyer.
8.2. The Buyer's logo, brand, content and End User data belong to the Buyer or the relevant rights holders. The Buyer permits TeknoWeb to use them solely for Installation, Brand Adaptation, Hosting and support. The Buyer warrants that it holds the necessary rights in these elements and that the elements supplied to TeknoWeb do not infringe third-party rights.
8.3. Buyer Modifications. Buyer Modifications are adaptations based on the Software (FSEK Art.6). The Buyer may hold rights in them only subject to TeknoWeb's rights in the Software and within this Agreement's restrictions.
8.4. TeknoWeb's freedom of operation. The license is non-exclusive. TeknoWeb is free to operate and develop the Software and software with similar or identical functions, and to sell and license them to others, including those operating in the Buyer's region or sector. TeknoWeb may also use general knowledge, skills and experience acquired during Installation and support; this freedom does not extend to the Buyer's confidential information.
8.5. Third-party rights claims.
(a) If a third party claims that the Software (excluding Buyer Modifications and elements supplied by the Buyer) infringes its Intellectual Property Rights, the Buyer must immediately notify TeknoWeb and provide reasonable cooperation in the defense.
(b) At its choice and expense, TeknoWeb will modify the disputed part, replace it with a functionally equivalent part or secure the right to use it.
(c) If these options are not reasonably feasible, TeknoWeb will terminate the license and refund the installation/license fee paid, reduced by 20% for each full year elapsed since Acceptance.
(d) Liability under this provision is subject to the cap in Article 12.5; intentional misconduct and gross negligence are excluded from that cap.
ARTICLE 9 — DELIVERY, ACCEPTANCE, REVISIONS, TRAINING AND SOURCE CODE DELIVERY
9.1. Delivery period.
(a) TeknoWeb completes Installation and Delivery once all of the following conditions are met, within seven (7) Business Days of that date:
- payment of the amount payable in advance under Article 10,
- the Buyer's complete delivery of the information and materials needed for Installation: vector or high-resolution logo, brand name, color codes, contact information, legal texts, and access to DNS management for the Licensed Domain Name or entry of the necessary DNS records,
- placement of the Hosting Service order.
TeknoWeb notifies the Buyer in writing of missing materials within two (2) Business Days of becoming aware of them.
(b) Periods excluded from the delivery period. Time spent awaiting information, approval, materials or DNS actions from the Buyer, and delays caused by the domain registrar or DNS propagation, extend the delivery period.
(c) Failure by the Buyer to supply materials. If the Buyer fails to supply the required materials within sixty (60) days of ordering, TeknoWeb may, by written notice, either complete and deliver Installation using the elements supplied so far or suspend Installation. In the event of suspension, payments are not refunded; Installation resumes from where it stopped when the Buyer supplies the materials.
9.2. Acceptance.
(a) Within five (5) Business Days of Delivery, the Buyer examines the Software against the acceptance checklist in Annex-1.
(b) If no reasoned written objection identifying specific Errors is made within this period, Delivery is deemed accepted.
(c) Acceptance is also deemed to occur when the Software is made available to End Users, commercial use begins on the Licensed Domain Name or fees are collected from End Users.
(d) If a reasoned objection is made in time, TeknoWeb corrects the reported Errors within a reasonable period and redelivers. On redelivery, the same acceptance procedure applies only to the corrected Errors.
(e) Minor Errors that do not prevent the Software's essential functions do not prevent Acceptance. They are corrected under Article 12.2.
9.3. Brand Adaptation and revisions.
(a) Scope. Brand Adaptation includes:
- placement of the logo and favicon,
- brand name,
- applying primary and secondary colors to the Software's existing color system,
- contact information,
- social media links,
- brand elements in email templates,
- placing the Buyer's supplied legal texts in the relevant fields,
- default language and content selections available through the Software's existing settings.
(b) Revision entitlement. For Brand Adaptation, the Buyer is entitled to two (2) revision rounds. A revision round means that the Buyer submits its requested changes in a single written list and TeknoWeb implements them. Unused revision rights expire thirty (30) days after Acceptance.
(c) Requests that do not constitute revisions. The following are out-of-scope work rather than revisions and are charged at the rate in Article 4.3:
- design of new themes, pages or components,
- changes to page layouts and flows,
- new features or integrations,
- custom drawings or illustrations,
- copywriting or translation,
- the third and subsequent revision rounds.
9.4. Training.
(a) TeknoWeb provides up to three (3) persons designated by the Buyer with training on using the administration panel, comprising up to two (2) hours of online training in total. Training is delivered in no more than two sessions.
(b) Training covers the administration panel, invitation and theme management, RSVPs and reports, connecting the WhatsApp Bridge and its risks, and basic security and account management.
(c) Training must be used within thirty (30) days of Acceptance on a date agreed by the Parties. If the Buyer causes a delay, unused training rights expire at the end of that period.
(d) Sessions may be recorded with the Buyer's consent, and the recording is provided to the Buyer.
(e) Additional training is charged at the rate in Article 4.3.
9.5. Source Code Delivery.
(a) Conditions. The Source Code is delivered within five (5) Business Days at the latest once all of the following conditions are met:
- full payment of the amount under Article 10,
- Acceptance having occurred,
- this Agreement having been signed in accordance with Article 21.4,
- if the Buyer is a consumer, fulfillment also of the condition in Article 20.3.
(b) Delivery method. Delivery is made by transfer to a private Git repository designated by and accessible only to the Buyer, or via an encrypted archive. The identity of the delivered version (commit hash and SHA-256 hash of the archive) is recorded in a delivery record, which the Parties confirm by email.
(c) Scope. Delivery covers the components listed in Annex-1. The following are excluded:
- TeknoWeb's internal infrastructure tools, CI/CD and deployment pipelines,
- secret keys and passwords,
- data and content belonging to TeknoWeb, e-davetiyem.com or other customers,
- third-party content whose redistribution is prohibited.
(d) One-time delivery. Source Code Delivery occurs once. The delivery obligation does not cover later Updates or New Versions (see Article 13).
ARTICLE 10 — PRICE, PAYMENT AND INVOICING
10.1. Installation/license fee: 50.000 TL + VAT (one-time). VAT is calculated separately at the applicable rate.
10.2. Hosting Service: 6.000 TL + VAT / year, payable annually in advance (Annex-2).
10.3. Payment. The installation/license fee is paid in advance when ordering. For orders based on a quotation, a different payment schedule applies only if expressly stated in TeknoWeb's written quotation. Payment is made by methods accepted by TeknoWeb (credit/debit card, bank transfer/EFT, account balance). Payment institution and bank charges are borne by the payer.
10.4. Invoice. TeknoWeb issues a legally compliant e-invoice or e-archive invoice for the fee. Hosting Service is invoiced separately.
10.5. License conditional on payment. The license under Article 5 and Source Code Delivery under Article 9.5 are subject to the condition precedent of full payment (TBK Art.170).
- Administrator access provided to the Buyer before full payment is a revocable temporary permission to use, solely for examination and Acceptance.
- If payment is reversed for any reason (e.g. a chargeback), the license is deemed never to have arisen and TeknoWeb may suspend access.
This provision is not a retention-of-title clause. It is a licensing condition.
10.6. Default. Overdue amounts accrue default interest until payment:
- if the Buyer is a merchant, the advance interest rate under Law No. 3095 Art.2/2,
- in other cases, statutory interest.
TeknoWeb may withhold its own performance until payment is made (TBK Art.97).
10.7. Taxes and duties. Any stamp duty arising from this Agreement is paid by the Buyer.
ARTICLE 11 — WHATSAPP BRIDGE AND THIRD-PARTY SERVICES
11.1. Express disclosure. The Buyer declares that the following were clearly disclosed before entering into the Agreement and that it understands and accepts them:
(a) Not an official API. WhatsApp messages are sent not through WhatsApp's official business platform (WhatsApp Business Platform/Cloud API), but by pairing the end user's own WhatsApp account through WhatsApp Web. This method is not approved by Meta/WhatsApp.
(b) Risk of restrictions and closure. WhatsApp may temporarily or permanently restrict, suspend or close telephone numbers used with this method. Measures such as spacing messages reduce, but do not eliminate, this risk.
(c) Changes without prior notice. Meta/WhatsApp may change the WhatsApp Web protocol, terms of use or technical infrastructure without prior notice. WhatsApp sending may then cease to function in part or entirely, and a permanent impediment to operation may arise.
(d) No delivery guarantee. Delivery of messages, or their delivery within a particular time or order, is not guaranteed.
11.2. Risk and responsibility.
(a) All risks arising from use of the WhatsApp Bridge, including number restrictions, suspension, closure, loss of accounts or data and losses from undelivered messages, are borne by the person connecting the account and the Buyer providing that person with the service. The sole exception is TeknoWeb's intentional misconduct or gross negligence.
(b) The Buyer must clearly and intelligibly disclose these risks to its End Users in its terms of use and interface, and obtain their consent where necessary. During Installation, TeknoWeb retains existing disclosure texts in the Software; the Buyer may not remove them or narrow their meaning.
(c) The Buyer must ensure, and require its End Users to ensure, use in compliance with Meta/WhatsApp terms and policies, Law No. 6563 and the Regulation on Commercial Communication and Commercial Electronic Messages, and personal data protection legislation.
(d) Using the Software to send unsolicited bulk communications or commercial messages to unknown persons is prohibited.
11.3. Protocol changes. Failure of the WhatsApp Bridge due to changes by Meta/WhatsApp is not an Error within the meaning of Article 12. Compatibility updates to the bridge component are performed on request at the rate in Article 4.3. TeknoWeb has no obligation to develop New Versions or adaptations to keep the bridge operational.
11.4. Migration to the official API. The Buyer may request integration with the official WhatsApp Business Platform as out-of-scope work. The official platform's fees, business verification and template approvals are the Buyer's responsibility.
11.5. Other Third-Party Services.
(a) The Buyer is responsible for opening accounts, entering into agreements, paying fees and complying with terms for SMS, email delivery, payment institutions, maps and similar services.
(b) TeknoWeb is not responsible for Third-Party Service outages, price or terms changes, account closures or data processing activities within those services.
(c) If the Buyer accepts online payments from End Users, it must do so in its own name through a payment institution authorized under Law No. 6493.
ARTICLE 12 — WARRANTIES AND LIMITATION OF LIABILITY
12.1. Basic warranty. TeknoWeb warrants that:
(a) It has the authority to grant the license to the Software under this Agreement.
(b) The Software delivered substantially performs the functions defined in Annex-1.
(c) To TeknoWeb's knowledge, the Source Code contains no intentionally implanted malicious code.
12.2. Error correction warranty (90 days).
(a) TeknoWeb corrects free of charge Errors reported in writing and reproducibly within ninety (90) days of Acceptance.
(b) The correction period is reasonable in light of the Error's impact. For Errors that entirely prevent an essential Software function, TeknoWeb begins work within two (2) Business Days at the latest.
(c) Remediation may be by correction, workaround or delivery of corrected code. TeknoWeb selects the method.
(d) This is the agreed period for notice of defects, also satisfying the inspection and notification obligation under TTK Art.23/1-c where the Buyer is a merchant.
12.3. Warranty exclusions. Problems arising from the following are not Errors and are excluded from warranty:
(a) Buyer Modifications or any changes, integrations or configurations made by anyone other than TeknoWeb,
(b) Running the Software outside TeknoWeb's infrastructure or the supported environment in Annex-1,
(c) Changes, outages or restrictions in Third-Party Services (including Article 11),
(d) Misuse, content or security weaknesses attributable to the Buyer or End Users (weak passwords, granting unauthorized access, etc.),
(e) Force majeure.
In an installation containing Buyer Modifications, the Buyer bears the burden of showing that the problem originates in TeknoWeb's unmodified code.
12.4. Delivery "as is". Except for the express warranties in 12.1 and 12.2, the Software is licensed in its condition on the Delivery date ("as is"). In particular, no warranty is given that:
- the Software is fit for a particular business purpose or revenue expectation of the Buyer,
- it will operate without interruption or errors,
- it is free of every security vulnerability.
12.5. Liability cap. Except in cases of intentional misconduct and gross negligence, TeknoWeb's aggregate liability for all claims arising out of or in connection with this Agreement, whether contractual or tortious, is limited to the installation/license fee actually paid by the Buyer to TeknoWeb under this Agreement (excluding VAT).
- For claims arising from the Hosting Service, the cap is the hosting fee paid during the twelve (12) months preceding the event causing the damage.
12.6. Indirect loss. Except in cases of intentional misconduct and gross negligence, TeknoWeb is not liable for:
- loss of profit, income or turnover,
- loss of reputation or customers,
- business interruption,
- data loss or the cost of recreating data (backup is the Buyer's responsibility; see Annex-2),
- third-party claims against the Buyer,
- other indirect or consequential loss.
12.7. Liabilities that cannot be excluded. The limitations in this Article do not cover:
(a) TeknoWeb's intentional misconduct or gross negligence (TBK Art.115/1),
(b) injury to life or bodily integrity,
(c) other liabilities whose limitation is prohibited by mandatory law.
12.8. The Buyer's indemnification obligation. If third parties (including End Users, Meta/WhatsApp and public authorities) bring claims against TeknoWeb or TeknoWeb must make a payment for the following reasons, the Buyer must hold TeknoWeb harmless. To the extent legally permissible, the Buyer must reimburse damages paid by TeknoWeb, reasonable legal fees and litigation costs upon first written demand:
- content supplied by the Buyer or its End Users,
- the manner in which the Buyer uses the Software,
- Buyer Modifications,
- breach of Article 11 or personal data or commercial communication legislation.
ARTICLE 13 — UPDATES, MAINTENANCE AND SUPPORT
13.1. Items excluded from the installation fee. The installation/license fee does not include Updates, New Versions, maintenance or technical support, except Error correction under Article 12.2.
13.2. Security updates during hosting.
(a) While the Hosting Service remains in force, Updates addressing known security vulnerabilities in the infrastructure (operating system, container runtime, database server, SSL) and the Software's unmodified code are provided as part of the Hosting Service (Annex-2).
(b) If a security update conflicts with Buyer Modifications, TeknoWeb applies it only to the unmodified code. Resolving the conflict is out-of-scope work.
(c) Where a critical security vulnerability is discovered, TeknoWeb may temporarily disable the affected function until the update is applied.
13.3. New Versions. New Versions are not covered by this Agreement. TeknoWeb may offer New Versions under a separate quotation at its discretion. Neither the Buyer is obliged to obtain New Versions nor TeknoWeb to develop them.
13.4. Deployment of Buyer Modifications. While Hosting Service continues on TeknoWeb's infrastructure, Buyer Modifications are deployed by TeknoWeb following the Buyer's written request and TeknoWeb's technical review. Review and deployment are charged at the out-of-scope rate. TeknoWeb may refuse to deploy modifications that jeopardize security or infrastructure integrity.
13.5. Consequences of Buyer Modifications. The Buyer alone is responsible for Buyer Modifications and resulting Errors, security vulnerabilities, data loss, performance problems and third-party claims. TeknoWeb has no warranty, Service Level or free support obligation for these.
ARTICLE 14 — PERSONAL DATA PROTECTION AND COMMERCIAL COMMUNICATIONS
14.1. Allocation of roles.
(a) For personal data of its End Users and their guests, the Buyer is the data controller within the meaning of Law No. 6698 (KVKK).
(b) TeknoWeb is the data processor that processes those data solely on the Buyer's behalf and instructions during Hosting Service, Installation, support and Error correction.
(c) The Parties' rights and obligations in this respect are governed by Annex-3 Data Processing Protocol.
(d) TeknoWeb is the controller, under its own privacy notice, for data processed in its commercial relationship with the Buyer's representatives and employees.
14.2. The Buyer's obligations. The Buyer is responsible in particular for:
(a) preparing and publishing a privacy notice for End Users and guests (KVKK Art.10),
(b) obtaining explicit consent where required,
(c) fulfilling any applicable VERBİS registration obligation,
(d) responding to data subject requests (KVKK Art.11, Art.13),
(e) conducting international transfers in accordance with KVKK Art.9. International transfers arise particularly through messages sent via WhatsApp/Meta, Third-Party Services located abroad and the data center in Germany hosting the infrastructure (Annex-3 Art.6),
(f) satisfying KVKK Art.6 requirements for special categories of personal data. For example, meal preference or note fields may contain allergy, health or religious information; the Buyer takes the necessary measures,
(g) notifying data breaches to the Board and affected persons (KVKK Art.12/5).
14.3. Commercial communications.
(a) If the Buyer sends commercial electronic messages promoting its own products and services through the Software or to contact details collected using it, it must comply with the following obligations under Law No. 6563 Art.6 and the Regulation on Commercial Communication and Commercial Electronic Messages:
- obtaining prior consent,
- registering with the Message Management System (İYS) and uploading consents to İYS,
- providing an opt-out mechanism.
(b) The Buyer is responsible for determining the legal nature of personal invitation messages sent by End Users to their own guests and informing its End Users accordingly.
14.4. Content and Law No. 5651.
(a) The Buyer fulfills its obligations under Law No. 5651 and related legislation concerning photos, videos, audio and text uploaded by End Users. These include removing unlawful content and operating a removal procedure.
(b) Upon an order from a competent authority or notification of manifestly unlawful content, TeknoWeb may block access to the relevant content, immediately notifying the Buyer. In urgent cases, it may do so without advance notice.
ARTICLE 15 — CONFIDENTIALITY AND REFERENCES
15.1. Confidential Information. The Parties keep confidential the other Party's undisclosed commercial, technical and financial information learned through this Agreement ("Confidential Information"). They share it only to perform this Agreement, with persons who need to know and are bound by the same confidentiality obligation.
15.2. Confidentiality of Source Code. The Source Code and Documentation are TeknoWeb's trade secrets. The Buyer's confidentiality obligation concerning them is perpetual and survives termination of the Agreement. For other Confidential Information, the confidentiality obligation continues for five (5) years after termination.
15.3. Information not deemed confidential. The following are not Confidential Information:
(a) information that is public or becomes public without fault of the receiving Party,
(b) information already lawfully known to the receiving Party,
(c) independently developed information,
(d) information required to be disclosed by law or an order of a competent authority. In this case, the receiving Party notifies the other Party in advance if possible.
15.4. References.
(a) TeknoWeb may use the Buyer's business name, brand and logo and public screenshots of the website on the Licensed Domain Name as references on its own website, in quotations and promotional materials.
(b) The Buyer may object in writing at any time. Following an objection, TeknoWeb ceases digital use within thirty (30) days and produces new printed materials in accordance with the objection.
(c) Reference use excludes End User data and Confidential Information.
ARTICLE 16 — TERM AND TERMINATION
16.1. Term. The Agreement takes effect on the date of electronic acceptance or signature. The license arises upon full payment and is perpetual unless terminated under this Article. Installation, training and warranty obligations end when their respective periods expire.
16.2. Termination for cause by TeknoWeb. TeknoWeb may terminate the Agreement and license by written notice via KEP or a notary in the following cases:
(a) Breach of Article 6.1 (a), (b), (c), (d) or (e). No cure period is required in these cases.
(b) Breach of the confidentiality obligation in Article 15.2. No cure period is required in this case either.
(c) Breach of other material obligations. The right to terminate arises if the breach is not remedied within a cure period of at least fifteen (15) days.
(d) Non-payment or reversal of payment. A cure period of at least fifteen (15) days is also granted in this case; see also Article 10.5.
16.3. Termination for cause by the Buyer. Before Acceptance, the Buyer may terminate the Agreement if TeknoWeb breaches a material obligation and fails to remedy it within a period of at least fifteen (15) days granted by written notice. After Acceptance, the Buyer's rights are the warranty and compensation rights under Article 12. As the license is perpetual, the Buyer may stop using it at any time; however, this does not entitle it to a refund.
16.4. Separate termination of Hosting Service. Hosting Service is separately terminated under Annex-2. Its termination does not terminate the license. Termination of the license under Article 16.2, however, automatically terminates Hosting Service as well. The remaining period's fee is not refunded in this case; Article 20 remains reserved if the Buyer is a consumer.
16.5. Consequences of termination.
(a) The duties to take installations offline, destroy copies and issue declarations under Article 6.4 arise.
(b) Amounts paid are not refunded. Termination under Article 8.5 (c) and Article 16.3 and the provisions of Article 20 remain reserved.
(c) At the Buyer's request, End User data held on TeknoWeb's infrastructure are delivered to the Buyer within thirty (30) days of termination in a commonly used format (e.g. an SQL dump and file archive). At the end of this period, the data are deleted subject to statutory retention obligations (Annex-3).
(d) Articles 6.3, 6.4, 8, 12, 15, 16.5, 18 and 19 survive termination.
ARTICLE 17 — FORCE MAJEURE
17.1. Definition. Events beyond the Parties' reasonable control that are unforeseeable or unavoidable even if foreseeable constitute force majeure. Examples include:
- natural disasters, epidemics, war, terrorism, strikes and lockouts,
- general power or communications outages,
- major outages attributable to a data center or cloud provider,
- cyberattacks occurring despite reasonable security measures (including DDoS),
- access blocks and similar official orders,
- changes in legislation,
- general outages or policy changes in Third-Party Services, including Meta/WhatsApp.
17.2. Consequences. The affected Party notifies the other Party within a reasonable time of learning of the force majeure. Its relevant obligations are suspended and deadlines extended for the duration of the force majeure. If it lasts more than sixty (60) days, either Party may terminate the Agreement without compensation as regards the affected obligation. Such termination does not affect accrued license rights or amounts already paid.
ARTICLE 18 — NOTICES AND EVIDENCE AGREEMENT
18.1. Notice addresses. The addresses in Article 1 are the Parties' notice addresses. Notices sent to the previous address remain valid unless a change of address is notified in writing.
18.2. Form of notice.
(a) Operational notices (delivery of materials, revisions, acceptance objections, Error reports, audit and transfer notices) may be sent by email to the addresses in Article 1.
(b) Notices and demands concerning default, termination, rescission and contractual penalties must, if the Buyer is a merchant, be made through a notary, registered letter or KEP pursuant to TTK Art.18/3.
18.3. Evidence agreement. The Parties agree that in disputes arising from this Agreement the following constitute evidence under HMK Art.193:
- TeknoWeb's duly maintained commercial books,
- server, access and transaction logs,
- order and electronic acceptance records,
- email correspondence between the addresses in Article 1,
- delivery records and SHA-256 hashes.
The right to submit counter-evidence is reserved.
ARTICLE 19 — GOVERNING LAW AND DISPUTE RESOLUTION
19.1. This Agreement is governed by Turkish law.
19.2. Jurisdiction (business/professional Buyer). Disputes arising from this Agreement fall within the exclusive jurisdiction of the İstanbul Anadolu Courts and Enforcement Offices. Under HMK Art.17, this jurisdiction clause is valid only between merchants or public legal entities. If the Buyer is not a merchant, general jurisdiction rules apply.
19.3. Mediation. For commercial actions concerning monetary receivables and compensation claims, mediation before filing suit is a procedural prerequisite (TTK Art.5/A). Mediation required by this condition is also conducted at the location in 19.2.
19.4. Consumer Buyer. If the Buyer is a consumer, the jurisdiction clause in 19.2 does not apply; Article 20.6 applies.
ARTICLE 20 — SPECIAL PROVISIONS AND RIGHT OF WITHDRAWAL FOR CONSUMER BUYERS
20.1. Two scenarios.
Scenario A — Buyer acting for business/professional purposes (the product's main audience). A natural or legal person acquiring the Software in the course of business or professional activity is not a consumer. This includes merchants, companies, tradespeople and self-employed professionals. In this scenario, Law No. 6502 on Consumer Protection (TKHK) and the Distance Contracts Regulation (MSY) do not apply, and there is no right of withdrawal. The Buyer declares a business/professional purpose when ordering and provides tax identification details. If the Buyer is not a merchant (e.g. a tradesperson), merchant-specific provisions of TTK Art.22 and HMK Art.17 do not apply.
Scenario B — Consumer Buyer. A person acquiring the Software for non-business and non-professional purposes is a consumer. The following provisions then apply. Provisions of this Agreement restricting consumers' statutory rights are unenforceable against them.
20.2. Right of withdrawal. The consumer has fourteen (14) days from conclusion of the Agreement to withdraw without giving reasons or paying a contractual penalty (TKHK Art.48; MSY Art.9). This right cannot be exercised if the exception conditions in 20.3 are met. Withdrawal may be notified to the email or KEP address in Article 1. On withdrawal, payment is refunded within fourteen (14) days of receipt of the notice, using the original payment method and without charge (MSY Art.13).
20.3. Withdrawal exception and Source Code. Installation and Brand Adaptation constitute performance of a service.
(a) Condition for the exception. If the consumer expressly consents to starting the service before the withdrawal period expires, and performance actually begins after that consent, the right of withdrawal cannot be exercised pursuant to MSY Art.15/1-(h). For that consent to be valid, the following are required:
- clear disclosure in the pre-contract information that the right of withdrawal cannot be exercised in this case (MSY Art.5),
- obtaining consent before ordering through a separate checkbox, in a form provable on a durable medium,
- recording that performance has begun (e.g. creation of the installation environment).
(b) If consent is not given. If the consumer does not consent, Installation starts after the withdrawal period expires. The delivery period in Article 9.1 runs from the expiry of the withdrawal period.
(c) Protection of Source Code. Source Code is never delivered while the right of withdrawal remains in force. It is delivered only when either the withdrawal period has expired without an exception or the exception in 20.3 (a) has occurred. In either case, the other conditions in Article 9.5 must also be met.
20.4. Provisions inapplicable or applicable only to a limited extent to consumers.
(a) The warranty and liability limitations in Article 12 do not restrict the alternative remedies for defective goods and services under TKHK Art.8–12 or their two (2) year limitation period.
(b) The contractual penalty in Article 6.3 is subject to review under TBK Art.182/3 and TKHK Art.5.
(c) The deemed acceptance in Article 9.2 does not remove consumers' statutory rights regarding defects.
(d) The evidence agreement in Article 18.3 is not applied so as to restrict the consumer's ability to present evidence.
(e) The minimum term and renewal conditions of the Hosting Service are subject to TKHK Art.51 and the Subscription Agreements Regulation.
20.5. Pre-contract information. Before conclusion of the Agreement, the consumer receives a Pre-Contract Information Form compliant with MSY Art.5. The Agreement and form are provided to the consumer on a durable medium.
20.6. Disputes (consumer). Within the monetary thresholds announced annually by the Ministry of Trade, the consumer may submit complaints and objections to the Consumer Arbitration Committee at their place of residence or where the consumer transaction took place, and, for disputes exceeding the threshold, to the Consumer Court.
- For 2026, the arbitration committee threshold is 186.000 TL. As this Agreement's value is below the threshold, the arbitration committee is the first body to approach.
- Mediation may be required before filing a consumer court action (TKHK Art.73/A).
ARTICLE 21 — MISCELLANEOUS
21.1. Entire agreement. This Agreement and its annexes constitute the entire agreement between the Parties on its subject matter and supersede previous correspondence and discussions. Promotional text on the sales page is for information only. In the event of conflict with Annex-1, Annex-1 prevails.
21.2. Amendment. This Agreement may be amended only by written agreement of the Parties. Hosting renewal fees in Annex-2 may be updated under the procedure set out in Annex-2.
21.3. Severability. Invalidity of a provision does not affect the others (TBK Art.27/2). An invalid provision is deemed replaced by a valid one closest to the Parties' intent.
21.4. Form. The Agreement is concluded through electronic acceptance.
- Because of the written form requirement in FSEK Art.52, Source Code Delivery is conditional on the Parties executing a copy of the Agreement bearing handwritten signatures or secure electronic signatures (Law No. 5070). TeknoWeb presents this copy to the Buyer for signature after Acceptance.
- If the Buyer refuses to sign, the license continues under the electronic acceptance; however, Source Code Delivery is deferred until signature is completed.
21.5. Prohibition of assignment (except by TeknoWeb). Except under Article 7, the Buyer may not assign rights or receivables arising from this Agreement without TeknoWeb's written consent. TeknoWeb may transfer the Agreement to its affiliates or the acquirer of the relevant business upon notice to the Buyer; such transfer may not reduce the Buyer's rights.
21.6. No waiver. Failure or delay in exercising a right does not constitute a waiver of it.
21.7. Language and copies. The Agreement is drawn up in Turkish. In the case of electronic acceptance, the copy in TeknoWeb's records is authoritative; in the case of signature, each Party holds an authoritative copy.
The Agreement is concluded by electronic acceptance during ordering; a signed copy is executed under Article 21.4.

Term and termination:
- The minimum term is twelve (12) months. The service then renews for annual periods.
- Either Party may terminate the service by written notice at least thirty (30) days before the end of the minimum term or any renewal period.

Service Level (response times):
- Outage reports receive a response within 24 hours.

- "Response" means starting intervention and giving the Buyer initial information; it is not a commitment to a resolution time.
- No uptime percentage is guaranteed.
- Planned maintenance is announced in advance where possible.
Excluded:
- Backup (sold as a separate product). Unless a backup service is purchased, the Buyer bears the risk of data loss; TeknoWeb is not liable for data loss except in cases of intentional misconduct or gross negligence.

Termination: Data are retained for thirty (30) days for the Buyer to export, then deleted (Annex-3 Art.8).
ANNEX-3 — DATA PROCESSING PROTOCOL (SUMMARY)
- Parties and roles. The Buyer is the controller, and TeknoWeb is the processor (KVKK Art.3, Art.12/2).
- Subject matter and duration. Processing occurs during and is limited to Installation, Hosting Service, support and Error correction.
- Data categories.
- End User account details (name, email, telephone)
- Guest details (name, telephone, RSVP response, guest and child counts, meal preferences and notes)
- Visual, audio and text content (photos, videos, voice notes, stories)
- IBAN
- Transaction and security records
- WhatsApp Bridge session data
The Buyer assesses the possibility of processing special categories of data (health/allergies, religion).
- Processing on instructions. TeknoWeb processes data only on the Buyer's documented instructions and to perform this Agreement. It does not process them for its own purposes, sell or share them. It notifies the Buyer of instructions it considers unlawful.
- Security. TeknoWeb takes organizational and technical measures under KVKK Art.12 and the Board's guidance:
- encryption in transit (TLS),
- access authorization and the principle of least privilege,
- access logs,
- staff confidentiality commitments,
- security updates.
- Subprocessors and international transfers. TeknoWeb may use the following subprocessors:
- data center/infrastructure provider: Hetzner Online GmbH (Germany),
- email delivery: the email server operated by TeknoWeb on the same infrastructure.
The Buyer is notified in advance of a new subprocessor and may object for good reason. Transfers to subprocessors abroad are carried out with appropriate safeguards under KVKK Art.9 (e.g. the standard contract published by the Board and timely notification to the Board). Meta/WhatsApp is not TeknoWeb's subprocessor; in that relationship, the person connecting the account and the Buyer make the transfer.
- Breach notification and assistance.
(a) TeknoWeb notifies the Buyer and provides information without delay and no later than forty-eight (48) hours after becoming aware of a data breach, enabling the Buyer to fulfill its notification obligation to the Board.
(b) TeknoWeb provides the Buyer with reasonable technical assistance for data subject requests. Extraordinary assistance is charged at the out-of-scope rate.
- Deletion and return. Data are returned to the Buyer within thirty (30) days after service ends and then deleted. Deletion is subject to statutory retention periods for backups and records.

- Liability. Liability under the Protocol is subject to the limits in Article 12 of the Agreement. The Parties' joint and several liability to the Board under KVKK Art.12/2 remains reserved.
